About these terms
These terms govern your use of ministudiodesign.com and any purchase from ministudiodesign ("we", "us"), 412 W College Ave, State College, PA 16801, USA, support@ministudiodesign.com. By using the site or placing an order you agree to them. If you do not agree, please do not use the site or place an order.
Using the site
You may browse the site and send us enquiries for lawful purposes. You agree not to misuse the site, probe it for weaknesses, scrape it at scale, or submit false information. The site and its content, design and logos belong to us or our licensors. You may not copy them except to share a link or quote briefly with credit.
Concept work
The concept projects on this site are self-initiated and show fictional businesses. They are not client engagements, and any resemblance to a real business is a coincidence.
Packages, prices and orders
- Prices are in US dollars and are the prices shown at the time of your order.
- Each package has a stated scope, page count and turnaround. The order confirmation records what you bought.
- Packages are limited to one per order line. If you need more than one, contact us.
- An order is accepted when we send a confirmation email and, for projects, book your kick-off call.
- We charge no sales tax on design services. If this changes, your cart and invoice will show it.
- We may decline or cancel an order, for example if the scope does not fit a package. If we do, we refund anything you have paid.
Payment
- Projects. You pay 50% of the package price as a deposit at checkout. We invoice the balance at launch and you pay within 14 days of the invoice.
- Care plans. You pay the first month at checkout and are billed monthly after that.
- Add-ons. You pay the full price at checkout.
- Test mode. Until live payments are switched on, checkout runs in test mode. No payment is taken in test mode. We confirm your order by email and invoice you directly.
- Late balances may pause work and delay launch.
How projects run
- Kick-off. Each project begins with a kick-off call. We confirm the scope, schedule and who decides what.
- Your responsibilities. You provide content, images, access and timely feedback, and name one person who can approve work. Delays on your side move the schedule.
- Changes to scope. Work beyond the package, such as extra pages or new features, is quoted and agreed in writing before we begin it.
- Timelines. Turnarounds shown on packages are estimates that assume timely content and feedback. We tell you as soon as we see a risk to the date.
- Content you supply. You confirm that you have the right to use everything you give us, including text, images, fonts and logos, and you are responsible for it.
Ownership
- Your accounts. Your domain, hosting, platform and analytics accounts are held in your name. We ask for access and do not keep it after the project.
- Delivered work. On payment of the final balance, you own the final deliverables we create for you, including design files, code and logos. This does not cover third-party software, fonts, stock images, themes or plugins, which keep their own licences. We tell you what they are.
- Our tools and know-how. We keep ownership of our general methods, tools and reusable components that are not specific to you. You may use them as part of the delivered work.
- Portfolio. We may show the finished work in our portfolio unless you ask us not to in writing before launch.
Website Care plans
Care plans cover the items listed on the Website Care page for the plan you choose. Included hours do not carry over. Work outside the plan, such as redesigns, new features, hosting fees and platform subscriptions, is quoted separately. You can cancel at any time, with effect at the end of the paid monthly period. We do not refund partial months.
Cancellation and refunds
The deposit is fully refundable until the kick-off call has taken place. You may reschedule or cancel the kick-off call free of charge until 24 hours before it. If you cancel within 24 hours of the call, we keep 50% of the deposit. After kick-off the deposit covers work started and is not refundable. If you stop a project later, we invoice the phases completed to the point you stopped, counted against what you have paid, and refund any unused prepaid amount. Care plans and add-ons follow the Refund & Cancellation policy, which forms part of these terms.
Third-party services
Your project may rely on third parties, such as hosting companies and website or shop platforms. We do not control them, and they set their own fees and terms. Their fees are paid by you directly to them.
Warranties and disclaimers
We perform our work with reasonable care and skill. We will fix defects in what we deliver that you report within 30 days of launch, free of charge. We do not guarantee search rankings, traffic, sales or any particular business result. The site and our work are otherwise provided "as is" to the extent the law allows.
Limit of liability
To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, lost data or lost business. Our total liability for any claim relating to an order is limited to the amount you paid us for that order in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
Governing law and disputes
These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-law rules. We will try to resolve any dispute informally first. Please write to support@ministudiodesign.com. If we cannot, the state and federal courts located in Centre County, Pennsylvania have jurisdiction, and you and we consent to them.
Changes
We may update these terms. The version in effect when you place an order applies to that order. We will update the effective date at the top when anything changes.
